End User License Agreement

Please read this End User License Agreement (“EULA”) before You download and use the Software. Your access to and use of the Software are conditioned on Your acceptance of and compliance with this EULA. By accessing or using the Software, You agree to be bound by this EULA.
We may revise this EULA from time to time without direct notice to You, and the most current version will be available at https://xogo.io/eula. By continuing to access or use the Software after revisions become effective, You agree to be bound by the revised EULA. If You do not agree with the terms of this EULA, please do not download or use the Software.
If You accept the terms and conditions in this EULA on behalf of a company or other legal entity, You warrant that You have full legal authority to do so and to legally bind such entity. You may not accept this EULA if You are not of legal age to form a binding contract with XOGO.
1. Definitions
1.1 - In this EULA, the following terms have the meanings set forth below:
• “Activate” means converting the Free Version into the Paid Version via an in-app purchase or subscription enrollment.
• “Affiliated Company” means any entity that Controls, is Controlled by, or is under common Control with a party. “Control” means ownership of more than fifty percent (50%) of the voting shares or equivalent ownership interest.
• “Content” means videos, images, or other media files uploaded by You into the Software for display on digital signs.
• “Free Version” means the license to Use the Software on one (1) media player, free of charge, with limitations as described herein.
• “Paid Version” means the license to Use the Software on media players for a per-player Subscription fee as published at https://xogo.io/pricing.
• “Software” means any software application, player application, web-based management portal (XOGO Manager at https://manager.xogo.io), and all related files, media, and documentation licensed to You by XOGO, including any Updates.
• “Subscription” means the recurring fee paid in order to Use the Paid Version of the Software, billed at the interval selected at enrollment.
• “Support Services” means the technical support provided by XOGO as described in Section 5 of this EULA.
• “Updates” means any modified versions of, or additions to, the Software, excluding major version upgrades.
• “Use” means to access, download, install, copy, or otherwise benefit from the functionality of the Software.
• “XOGO” means XOGO Inc., 2818 N. Sullivan Road, Suite 100-1154, Spokane Valley, WA 99216, USA.
• “You” (or “Your”) means the final and ultimate user of the Software, or the authorized representative of a company or other legal entity that will be the final and ultimate user of the Software.
1.2 - This EULA applies to any licenses granted to You by XOGO for the use of the Software.
1.3 - By downloading and using the Software, You enter into this EULA with XOGO.
2. License
2.1 – XOGO grants You and Your Affiliated Companies a non-exclusive, non-transferable, limited, revocable license to Use the Software in accordance with this EULA. XOGO reserves all rights not expressly granted to You.
2.2 – XOGO is and remains the owner of all intellectual property rights with respect to the Software. You shall not acquire any ownership of the Software as a result of Your purchase of a Subscription or Your Use of the Software.
3. Permitted Use and Restrictions
3.1 – In order to install the Software and receive Updates, Your device must have access to the Internet.
3.2 – You shall Use the Free Version or Paid Version in accordance with applicable laws and shall not:
a) Rent, lease, lend, sell, redistribute, sublicense, or otherwise commercially exploit the Subscription;
b) Use the Software for any unlawful or illegal activity, or to facilitate any unlawful or illegal activity;
c) Delete or alter any disclaimers, warnings, copyright, or other proprietary notices accompanying the Software;
d) Copy (except as otherwise provided in this EULA), adapt, translate, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Software or any parts thereof, except to the extent permitted by applicable law; or
e) As an individual or organization, set up multiple instances of the Free Version in order to avoid upgrading to the Paid Version. XOGO reserves the right to monitor for and take action against such activity, including immediate account termination.
3.3 – XOGO may modify the Software at any time at its sole discretion and without notice to You, for example to comply with applicable law or a court order, to avoid a third-party infringement claim, or to provide Updates.
3.4 – XOGO for Microsoft Teams Rooms is a premium product. The Teams Rooms integration requires a Paid Version (Pro) subscription; no Free Version is available for this product.
4. Acceptable Conduct
4.1 – XOGO is committed to maintaining a professional and respectful environment in all interactions between You and XOGO’s personnel, including but not limited to support staff, sales representatives, and management.
4.2 – You agree that all communications with XOGO personnel, whether via the support portal, email, phone, or any other channel, shall be conducted in a professional and respectful manner. The following conduct is prohibited:
a) Use of profane, obscene, abusive, or threatening language;
b) Personal attacks, insults, or discriminatory remarks directed at XOGO personnel;
c) Harassment, intimidation, or bullying of any kind;
d) Repeated disrespectful or disruptive behavior after being asked to modify conduct; or
e) Threats of violence or harm.
4.3 – In the event of a conduct violation, XOGO will follow this process:
a) First Occurrence: XOGO will issue a written warning documenting the violation;
b) Second Occurrence: Support Services will be suspended for a period of thirty (30) days;
c) Third Occurrence: Support Services will be revoked indefinitely.
4.4 – Notwithstanding Section 4.3, XOGO reserves the right to immediately suspend or revoke Support Services without prior warning in cases of severe misconduct, including but not limited to threats of violence, discriminatory language, or harassment.
4.5 – Revocation of Support Services under this Section does not affect Your license to Use the Software. You will retain full access to the Software and Your account. However, You will no longer be eligible for complimentary Support Services. XOGO may, at its sole discretion, offer a paid support engagement as an alternative.
4.6 – XOGO may, at its sole discretion, reinstate Support Services following a revocation, provided that satisfactory assurances of future compliance are given.
5. Support Services
5.1 – XOGO provides complimentary ticket-based technical support to all users (Free Version and Paid Version) through the XOGO support portal at https://support.xogo.io. Support Services are subject to the Acceptable Conduct requirements in Section 4.
5.2 – If a support ticket cannot be resolved within seventy-two (72) hours, You may request escalation to a phone-based support session at no additional charge.
5.3 – XOGO will notify You of any available Updates and upgrades. Updates will be delivered through the applicable platform store(s) where the player Software was downloaded, or via the XOGO Manager web portal.
5.4 – In order to be eligible for Updates, Your XOGO players must be connected to the Internet at least once per month.
5.5 – Any support, maintenance, Updates, and upgrades provided by XOGO are provided on an “as is” basis without any warranty, as further described in Section 7.6. Disclaimer
6. Use of Data
6.1 – XOGO and its subsidiaries may periodically collect and use technical and related data concerning the Software You have downloaded, including the version number of the Software and information about the system on which it is installed. XOGO will use such data to facilitate support, improve its products, and provide further services or technologies to You.
6.2 – To the extent XOGO processes personal data, it will comply with its obligations under applicable data protection law. Please see our privacy policy at https://xogo.io/privacy-policy for details on how XOGO collects and processes Your personal data.
7. Disclaimer
7.1 – The Software and accompanying documentation are provided on an “as is” and “as available” basis without warranty — express or implied — of any kind, and XOGO specifically disclaims the warranty of fitness for a particular purpose. No oral or written advice given by XOGO, its dealers, distributors, agents, or employees shall create a warranty or in any way increase the scope of this warranty, and You may not rely upon such information or advice.
8. Liability Limitation
8.1 – The total aggregate liability of XOGO and any third party involved in the creation, production, or delivery of the Software for all damages arising out of or relating to the Software and/or this EULA shall in no event exceed the total fees paid by You to XOGO in the twelve (12) months immediately preceding the event giving rise to the claim.
8.2 – XOGO and any third party involved in the creation, production, or delivery of the Software are under no circumstances liable for consequential or indirect damages, including but not limited to damages for loss of profit, business interruption, loss of data, or similar losses arising out of the use or inability to use the Software.
8.3 – XOGO will defend, indemnify, and hold harmless You and Your Affiliated Companies and their officers, employees, agents, and customers from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) resulting from any infringement or alleged infringement of any third-party intellectual property rights (including copyright, patent, or trademark rights) by the Software.
8.4 – You will defend, indemnify, and hold harmless XOGO and its officers, employees, agents, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to Content uploaded, displayed, or distributed by You through the Software, including but not limited to claims of intellectual property infringement, defamation, or violation of any applicable law.
9. Termination
9.1 – This EULA will continue to be in force until the expiry or termination of the Free Version or Paid Version.
9.2 – XOGO is entitled to terminate the Free Version or Paid Version by blocking the Subscription or user account with immediate effect and without prior notice in the event that:
a) You fail to comply with the terms of this EULA;
b) You fail to pay Your Subscription fee within the applicable payment term;
c) You set up multiple Free Version accounts in violation of Section 3.2(e);
d) XOGO is required to do so by law or an order of an applicable court; or
e) XOGO determines, at its sole discretion, that Your conduct poses a risk to the safety or wellbeing of XOGO personnel.
9.3 – Upon termination, You shall cease all Use of the Software and shall destroy all copies thereof. XOGO does not offer refunds for used or unused Software Subscriptions.
9.4 – You acknowledge that the provisions of this EULA which by their nature are intended to survive termination will remain in effect after termination of this EULA.
10. Export Compliance
10.1 – The Software may be subject to U.S. export control laws and regulations. You agree that You will not export, re-export, or transfer the Software, directly or indirectly, to any country, entity, or person prohibited by applicable export laws, including but not limited to U.S. Export Administration Regulations. You represent and warrant that You are not located in, under the control of, or a national or resident of any restricted country or on any restricted party list.
11. Governing Law and Disputes
11.1 – This EULA shall be governed by and construed in accordance with the laws of the State of Washington, USA.
11.2 – Any dispute arising out of or relating to this EULA shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in the State of Washington, USA, in accordance with the rules of the American Arbitration Association. Any dispute not resolved through arbitration shall exclusively be submitted to a court of competent jurisdiction in the State of Washington, USA.
12. Entire Agreement
12.1 – This EULA constitutes the entire agreement between You and XOGO with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Software.
12.2 – If any provision of this EULA is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the other provisions will remain in full force and effect.
